1) General
a) SSL is a publisher and rights-holder organisation providing a range of theatrical goods and services to producing organisations on a business-to-business basis.
b) SSL may make available offline catalogues and/or one or more websites from which it is possible to view synopses, download Preview Material and make purchases or requests.
c) Our ordering system requires You to EITHER create an account before You can place an order, OR to checkout as a Guest before You can place an order, irrespective of whether that order is for a chargeable item or a free item. As a result, Your e-mail address will be collected and stored in accordance with our Privacy Policy.
d) Any order that You place constitutes EITHER an offer to purchase a product OR a request to borrow a product, and both are subject to acceptance. SSL reserves the right without reason to refuse any order or request.
2) Downloadable Preview or Perusal Material (Scripts and Audio Clips)
a) Preview Material or Perusal Material formatted as .pdf files for documents and .mp3 files for audio clips is provided free of charge as an aid to the process of deciding whether a particular title is suitable for further investigation.
b) Once you have placed an order for Preview Material or Perusal Material, You are permitted to download Preview Material or Perusal Material to Your computer and to store the Preview Material or Perusal Material therein. Our ordering system allows You to make unlimited downloads of Preview Material or Perusal Material.
c) You undertake not to sell, lend or rent the Preview Material or Perusal Material to any other person, organisation or body corporate.
d) You are permitted to print one copy of Preview Material or Perusal Material to allow the contents to be read offline.
e) For audio clips, You are permitted only to listen to the files stored on your own computer. Downloading is not permitted.
3) Printed Perusal Material
a) Printed Perusal Material is packaged as a set for various titles and generally consists of a full copy of the script/libretto and piano/vocal score together with an audio CD and where available one or more video DVD’s.
b) Printed Perusal Material is either lent or rented depending on the particular circumstances of Your request. You undertake to return the Printed Perusal Material undamaged by the date shown on the form accompanying the Printed Perusal Material at Your expense.
c) Printed Perusal Material remains the property of SSL whilst in Your possession.
d) You are not permitted to copy or deface the Printed Perusal Material.
e) For the CD’s and DVD’s that form part of a set of Printed Perusal Material, You are not permitted copy any of the video or audio contents onto any other media nor are You to allow the images and/or songs and/or music and/or dialogue contained thereon to be heard and/or viewed by any person who will not be in some way connected with Your production.
4) Your Status and Applicable EU Taxes
a) The services and products supplied by Stagescripts Ltd are intended to be used for business purposes only. By that we mean that we expect You to be part of a Commercially Aware Organisation that sees a potential economic benefit from buying our play scripts and musical scores in order to create a stage production for which Your audiences will be expected to obtain tickets. (Commercially Aware Organisations include, but are not limited to, Amateur Theatre Groups, Professional Theatre Companies, Schools, Colleges and Universities)
b) If You are within the UK or within an EU member state You should ONLY place an order for downloadable e-script products if You are part of a Commercially Aware Organisation (see above) and You intend to use one of our downloadable e-script products as a means of creating a live stage production.
c) If You buy any of our downloadable products from within an EU member state and you are not part of a Commercially Aware Organisation we will not charge you VAT (if applicable) and You will be responsible for determining any and all taxes that may be due at Your country’s local rate(s). If however You are a UK customer we will charge VAT if necessary for Your order.
5) Sale of Rehearsal Material
a) Rehearsal Material is sold singly or in sets as required to stage Your production. It may take the form of printed books (either bound or loose leaf) or in electronic form either as a downloaded .pdf file (an ‘e-script’ or 'e-score') or as a USB Stick containing .pdf and other files.
b) Where You purchase Rehearsal Material in any format, every effort is made to ensure consistency within sets of scripts supplied. However, where corrections have been made to material over time, customers may be presented with inconsistencies in content, and it may not be obvious which is the updated version. SSL will attempt to resolve any such problems on request, but sometimes such resolution might not be possible.
c) Where You purchase Rehearsal Material as an e-script or on a USB Stick You undertake not to sell, lend or rent the Rehearsal Material to any other person, organisation or body corporate. Unless You are in possession of a Licence To Copy from Stagescripts Ltd (see 7 below) You are not permitted to print or duplicate thereafter any more than one copy of play scripts or musical scripts.
d) When purchasing e-scripts or e-scores as downloaded .pdf files You are allowed three attempts at making the download within a thirty day period. You understand and note that our ordering system keeps a record of how many attempts You have made. Refunds are not available under any circumstances for the sale of e-scripts or e-scores. You warrant that in placing an order for an e-script or e-score you understand the practical aspects of downloading and opening such files.
e) You undertake to use the Rehearsal Material solely for the stated purposes set out in 'Definitions' above.
f) You understand that Rehearsal Material is sold subject to the condition that it shall not, by way of trade or otherwise, be resold, hired out, circulated or distributed without the prior consent of SSL.
6) Sale of Performance Material
a) Some Performance Material is sold singly or in sets as required to stage Your production. It may take the form of printed books (either bound or loose leaf) or in electronic form as a .pdf file (an ‘e-score’). Please note that the majority of Performance Material is sold, not rented (see below).
b) Backing Tracks for use during performances may only be purchased by You if you hold an unexpired Licence To Perform.
c) You undertake to use the Performance Material solely for the stated purposes set out in 'Definitions' above.
d) You understand that where Performance Material is sold it is subject to the condition that it shall not, by way of trade or otherwise, be resold, hired out, circulated or distributed without the prior consent of SSL.
7) Script Copying Licences
a) Instead of purchasing a set of printed Rehearsal Material or Performance Material, You may, where available, purchase a single printed copy or an e-script or an e-score and then purchase (where available) a licence which will permit You to make a just sufficient number of copies of it in order to stage Your production.
b) Any copies so made are subject to the condition that they shall not, by way of trade or otherwise, be resold, hired out, circulated or distributed without the prior consent of Stagescripts Ltd.
8) Sales of Audio Material
a) Audio Material is defined as a collection of songs and/or music and/or dialogue contained on a Compact Disc. This collection may be a cast recording of a previous production or backing tracks or sound effects to accompany a production.
b) You are not permitted to copy Audio Material in any manner electronic, optical or mechanical.
c) You are not permitted to allow the songs and/or music and/or dialogue contained on Audio Material to be heard and/or viewed by any person who will not be in some way connected with Your production.
9) Prices
a) These are subject to change without notice, except i) those prices shown on unexpired quotations, and ii) after acceptance of an order by Stagescripts Ltd
10) Returns Policy
If You are not satisfied with the material purchased for any reason, Stagescripts Ltd will, subject to a few exceptions (see below), provide a full refund of the purchase price plus costs of return. To qualify, You must a) notify us by e-mail within 7 (seven) days of receipt of the material, b) advise us of the reason for dissatisfaction, and c) return the material completely undamaged within the timescale notified to you.
You should expect to receive your refund within four weeks of mailing your package, however, in many cases you will receive a refund more quickly. This time period includes the transit time for us to receive your return from the shipper (5 to 10 business days), the time it takes us to process your return once we receive it (3 to 5 business days), and, if we refund your credit/debit card, the time it takes your bank to process our refund request (5 to 10 business days).
If you need to return an item purchased at our e-commerce website, simply login to your account, view the order using the "Complete Orders" link under the My Account menu and click the Return Item(s) button. We'll notify you via e-mail of your refund once we've received and processed the returned item.
Exceptions :
i) this Returns Policy only applies to sales made to customers resident in the United Kingdom.
ii) this policy does not apply under any circumstances to sales of e-scripts, e-scores or licences downloaded directly upon payment from our website, nor does it apply to any of these items that may be e-mailed to you.
NOTE: Under the UK Government's Distance Selling Regulations ('DSRs') Stagescripts Ltd classifies the items stated in ii) above as 'Services'. Italicised words in this clause refer to the same words used in the DSRs. You hereby agree that for the items stated in ii) above the 'Service' purchased from Stagescripts Ltd starts at the time of delivery to You by Stagescripts Ltd of an e-mail with a download link or file attachment. In providing these T&Cs we believe we have supplied you with the required 'durable information' under the Distance Selling Regulations before the 'Service' starts and You therefore agree to the 'Service' starting before the end of the 'usual cancellation period'. As such Your cancellation and refund rights will have ended at the time of delivery by download to You or of opening a file attached to an e-mail to You.
11) Rental of Performance Material
a) Performance Material is rented as one or more sets of orchestrations (either bound or loose leaf books) as required to stage Your production.
b) The licence conditions do not permit alterations to the music, thus it is a strict condition of hire that no markings should be made in any of the books provided unless it is absolutely necessary for reasons of transposition or timing etc.Any marks made as such should be made with a 2B pencil.
c) Any unerased markings, permanent markings, taped-on pages, torn pages, stains or other defacings will result in full or partial loss of any customer's deposit cheques held by Stagescripts Ltd.
d) You undertake to use the Performance Material solely for the stated purposes set out in 'Definitions' above.
e) You understand that where Performance Material is rented it is subject to the condition that it shall not, by way of trade or otherwise, be sold, re-hired out, circulated or distributed without the prior consent of SSL.
12) Licences To Perform
a) Stagescripts Ltd may where required and at its sole discretion grant a performing licence to organisations wishing to perform a show from within its catalogue. Such a grant forms a binding contract between the customer and Stagescripts Ltd.
b) Applications for licences to perform must be undertaken using our application process.
c) Approved applications will be despatched by first class post, or by e-mail, or together with Rehearsal Material (if both are ordered together) to the street or e-mail address given on the application form by the requesting organisation.
d) Rehearsals should not start on any play or musical until receipt by the producing organisation of an approved licence application.
e) Performing Licences granted permit the staging of live public performances, they DO NOT permit the recording of such live performances in any form of mechanical, optical or electronic retrievable storage system. A separate licence for such recordings may be available on payment of a fee (see 'Licences To Record' below).
f) You are required to INSTRUCT your cast, crew and audiences both in writing and by suitable announcements that the use of mobile phone cameras, camcorders or other electronic means of video recording is not permitted under ANY circumstances during dress rehearsals or performances.
g) Unless specifically stated to be allowed in the script no additions, deletions or alterations of any kind are permitted to be made to the characters, dialogue, lyrics or music without the written authority of Stagescripts Ltd.
h) Performing Licences do not include the right to the original choreography, staging, direction, costume designs or scenery designs of the play or musical unless specified in writing to the contrary.
i) Where a Signature Logo Scheme is specified for use You must use as directed the logo material supplied in all advertisements, programmes, handbills, banners and on all other promotional material You may use. You must also use the logo on all websites (whether or not these are operated by You or by a third party).
j) For all licensed productions whether it be a play, a pantomime or a musical, You are required to clearly state the following on all advertisements, programmes, handbills, banners and on all other promotional material including but not limited to all newspaper advertisements (except classified ads), radio advertisements, web pages and web advertisements (whether or not the websites are operated by You or by a third party)...
i) the names of the writer(s), composer(s) and (where appropriate) arranger(s), and
ii) for non-professional Producing Organisations that the production is 'By arrangement with Stagescripts Ltd'
k) No less than two calendar weeks prior to the first performance the Producing Organisation stated overleaf must send to Stagescripts Ltd at its cost EITHER one printed copy OR an e-mailed pdf copy of the theatre programme being made available to the public attending performances.
l) Clause not used.
m) If your production has to be cancelled due to a national or local lockdown or similar legal requirement then we will either i) postpone the licence to a later date, or ii) cancel the licence and refund the fee. For both of cases i) and ii) our standard administration fees will not be applied (see Clause n) below). For all other types of cancellation (for example where one or more members of your cast fall ill for any reason or the venue becomes unavailable and the production has to be cancelled) we would expect your abandonment insurance to pay for your unrecoverable costs, but in our case the purpose of the licence (to perform the play or musical) has been 'frustrated' to use a legal term, so under these circumstances we would be able to refund you, but the standard administration fee in Clause n) below will apply.
n) The current Standard Administration Fee is £15.00
13) Licences To Record
a) These may be granted on application, if :-
i) You have an unexpired Licence To Peform, and
ii) You pay the appropriate fee, and
iii) You provide a suitable cast and crew waiver document, and
iv) You are an amateur theatre company or a community theatre company or an educational establishment
b) On receipt of all the items in a) above and where rights are available permission may be granted to You to record one or more performances either as a video or audio recording, or both.
c) Any such recordings made may be reduced by editing to be the equivalent of a single performance.
d) Copies of that edited recording may then be made and either given away by You or sold to any paid-up member of Your organisation in any membership category, and also to ticketed members of audiences attending any licensed performance. In the latter case, You are permitted to take sales orders (normally paid in advance) from Your audiences prior to, during intervals of, and after, each performance; these orders to then be fulfilled once the edited recording is available.
e) Copies of that edited recording either in full or in part may not be given away or sold to any person or company who might wish to trade in that edited recording nor placed on ANY publicly available website without the written permission of Stagescripts Ltd.
f) Two copies of the finished recording on a CD or in a region-free DVD format as appropriate are to be provided to Stagescripts Ltd at no charge. You are required to allow Stagescripts Ltd to use either the whole recording, or parts of the recording, or images extracted from the recording, in their future marketing and sales activities of the Work.
g) You are required to ensure that all tapes or discs distributed state that the production is: "An amateur performance licensed by Stagescripts Ltd" and the names of all authors, composers and arrangers are to be clearly shown. This information is to be printed both on the disc and any paper insert(s).

14) Rehearsal Material
a) For online sales at this website, payment will be debited electronically at the point of sale through transactions undertaken on our behalf by Stripe or Paypal (see 18 below).
b) For traditional offline sales to all customers (except schools, colleges and universities) payment must accompany Your order.
c) For traditional offline sales to UK schools, colleges and universities, Your order must be accompanied by an official order from Your finance department, school secretary, bursar or other body. A suitable invoice payable within 30 days will accompany the ordered material when despatched.
d) For traditional offline sales to non-UK schools, colleges and universities, Your order should use the online sales method, using either, a personal credit/debit card (with the amount being claimed back from the establishment), or a corporate credit card (which may need their scope extended to allow international transactions).
15) Performance Material
a) For online sales at this website, payment will be debited electronically at the point of sale through transactions undertaken on our behalf by Stripe or Paypal (see 18 below).
b) Where sales of Performance Material is by traditional offline sales. Your order must be accompanied by a cheque drawn in sterling / GBP.
16) Fixed Fee Licences
a) On receipt of a Royalties Quotation, and given that You wish to obtain the rights to perform, You must sign, date and return the original of the form accompanied by the full amount shown on the Quotation, unless you pay online at our website, in which case making a payment will constitute acceptance in full of the licensing conditions shown on the back of the quotation..
17) Variable Fee Licences
a) On receipt of a Royalties Quotation, and given that You wish to obtain the rights to perform, You must sign, date and return the original of the form accompanied by 25% of the Total Minimum Royalties shown on the Quotation.
b) You must declare and pay Your closing royalties no later than 21 days after the date of the final performance. Closing royalties amount to the difference between your Gross Box Office income and the Advance/Deposit Royalties paid. Declarations must be made on the form supplied for this purpose by Stagescripts Ltd. These are normally despatched just before the date of Your last performance.
a) Online (through our website)
Payment can be made using credit or debit cards through our transaction partner, Stripe. Please note that for this kind of payment, Stagescripts Ltd is not provided with Your card number or security code.
b) Offline / Manual Payment
i) Cheques drawn in sterling (or bankers drafts in GBP) made payable to Stagescripts Ltd
If you use this method please write your Quotation Number or Invoice Number on the back of the cheque.
ii) By Direct Deposit / Internet Banking (but no cheques/checks) to one of our Bank Accounts below...
If you use this method please show your Quotation Number or Invoice Number at the beginning of the transaction reference number.
